Terms of Service

These Terms of Service govern your use of Ketchup Bookkeeping’s services. By engaging our services or submitting a quote request, you agree to these terms.

Our Services

Ketchup Bookkeeping provides cash-basis bookkeeping services including transaction categorization, account reconciliation, monthly profit and loss statements, and the Ketchup Clarity Report. Our work is based on records you provide.

We are not a CPA firm and we do not provide tax advice, tax preparation, legal advice, or financial planning. Our deliverables are intended to support your tax preparer, not replace one. If you need tax preparation or strategic financial advice, please consult a licensed CPA or financial advisor.

Scope of Work

Each project is scoped based on the information you provide at the time of your quote request, including the number of accounts and months of backlog. Your final quote reflects that scope. If we discover that the actual work significantly exceeds the original scope, we will notify you and provide a revised estimate before proceeding. You will never be charged more than agreed without your explicit approval.

Your Responsibilities

To deliver accurate work, we need accurate records from you. You are responsible for:

• Providing complete and accurate bank and credit card statements for the period being reconciled
• Responding to questions about specific transactions in a timely manner
• Notifying us of any business structure changes, ownership changes, or unusual transactions that may affect categorization
• Reviewing delivered work and notifying us of any errors within 30 days of delivery

Our work product is only as accurate as the records you provide. We are not responsible for errors or omissions resulting from incomplete, inaccurate, or misleading information you supply.

Payment

Payment is due upon project completion unless otherwise agreed in writing. We accept payment via Stripe. Your quote represents the full fixed price for the agreed scope of work. We do not bill by the hour.

For ongoing monthly bookkeeping, payment is due at the beginning of each service month. We reserve the right to pause service on accounts with outstanding balances.

Confidentiality

We treat your financial information as strictly confidential. We will not disclose your financial records to any third party except as required to deliver services to you (for example, sharing work product with your CPA at your direction), as required by law, or as described in our Privacy Policy.

Limitation of Liability

Our liability for any claim arising from our services is limited to the amount you paid us for the specific project giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including penalties, interest, or tax liability arising from errors in the records you provided to us.

Our Tax-Ready Guarantee means we will correct errors in our work at no additional charge if your CPA identifies issues attributable to our categorization or reconciliation. This guarantee does not extend to errors arising from records you provided that were incomplete or inaccurate.

Intellectual Property

The Ketchup Clarity Report format, templates, and analysis framework are our intellectual property. The financial data in your reports is yours. You own your numbers. We own the format we built to present them.

Cancellation

For catch-up bookkeeping projects, you may cancel at any time before we begin work for a full refund. Once work has started, you are responsible for payment for work completed through the cancellation date.

For ongoing monthly bookkeeping, you may cancel with 30 days written notice. We will deliver all completed work product through your final service period.

Governing Law

These terms are governed by the laws of the State of Colorado. Any disputes will be resolved in the courts of Colorado.

Changes to These Terms

We may update these terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
